These Terms & Conditions (“Terms”) govern your use of www.kocreatemarketing.com and your purchase or use of services offered by Ko-Create Marketing LLC (“Ko-Create,” “we,” “us,” or “our”).

By using our website, purchasing a program or service, or otherwise engaging Ko-Create, you agree to these Terms and any additional written agreement, proposal, order form, statement of work, or service agreement applicable to your purchase.

1. ABOUT KO-CREATE

Ko-Create Marketing LLC is a California-based marketing, growth strategy, consulting, and implementation company serving primarily wellness businesses and other businesses in the United States.

Our services may include business and marketing strategy, growth consulting, marketing systems, implementation support, and related services.

Specific deliverables depend on the service or engagement purchased.

2. SERVICES

Ko-Create currently offers services that may include:

  • Marketing and growth strategy

  • Business and marketing consulting

  • Implementation support

  • Ko-Create Partnership services

  • Related programs, workshops, or consulting services offered through the website

The exact scope, deliverables, schedule, pricing, responsibilities, and other conditions applicable to a client engagement may be described in a separate proposal, order form, checkout page, statement of work, or client agreement.

If a specific written client agreement conflicts with these general website Terms regarding the purchased services, the specific client agreement will control for that engagement.

3. KO-CREATE PARTNERSHIP

The Ko-Create Partnership is an ongoing monthly service with an initial minimum commitment of three months unless different terms are expressly stated in the applicable proposal or agreement.

After the initial commitment, continuation, renewal, cancellation, and notice requirements will be governed by the agreement or offer accepted at the time of purchase.

Clients are responsible for reviewing the specific commitment and cancellation terms before purchasing.

4. PAYMENTS

Pricing will be disclosed before purchase or in the applicable proposal or service agreement.

By purchasing a service, you authorize Ko-Create and its payment providers to charge the payment method you provide according to the payment schedule associated with your purchase.

For recurring services, you authorize recurring charges according to the billing schedule disclosed when you enroll until the service is properly canceled in accordance with the applicable agreement.

You are responsible for maintaining accurate and current billing information.

Failure to make required payments may result in suspension or termination of services.

5. CANCELLATIONS AND REFUNDS

Because Ko-Create provides professional services and may reserve capacity, begin strategic work, allocate team resources, or incur costs based on a client's commitment, payments may be non-refundable once services have begun except where otherwise expressly stated in writing or required by law.

Specific cancellation, refund, rescheduling, and termination policies may vary by service and will be disclosed in the applicable proposal, checkout page, or client agreement.

For the Ko-Create Partnership, the initial three-month commitment remains subject to the specific cancellation and payment provisions agreed to at enrollment.

Nothing in these Terms limits any cancellation or refund right that cannot legally be waived.

6. CLIENT RESPONSIBILITIES

Successful consulting and marketing engagements require cooperation.

Clients agree to provide reasonably requested information, access, feedback, approvals, assets, account permissions, and decisions necessary for Ko-Create to perform the agreed services.

Clients remain responsible for:

  • The accuracy of information supplied to Ko-Create

  • Final approval of business claims and materials

  • Decisions regarding their business

  • Compliance with laws and industry requirements applicable to their business

  • Maintaining necessary licenses, permissions, and accounts

  • Timely participation and approvals

Delays in providing necessary information, access, or approvals may affect timelines and results.

7. NO GUARANTEE OF BUSINESS RESULTS

Ko-Create provides strategy, consulting, marketing, implementation, and related professional services designed to support business growth.

However, business and marketing results depend on numerous factors outside Ko-Create's control.

We do not guarantee:

  • Specific revenue

  • Specific profit

  • A particular number of customers, leads, appointments, or sales

  • Specific conversion rates

  • Specific advertising results

  • Search engine rankings

  • Social media growth

  • Business growth within a particular timeframe

  • Any specific return on investment

Any examples, case studies, testimonials, projections, or discussions of potential results are illustrative and are not promises that you will achieve the same outcome.

Our work is intended to create a structured, measurable process for identifying opportunities, implementing strategies, reviewing results, and making informed adjustments.

8. PROFESSIONAL AND BUSINESS DISCLAIMER

Ko-Create provides marketing, strategy, business consulting, and implementation services.

Nothing provided by Ko-Create constitutes legal, tax, accounting, investment, medical, or other regulated professional advice.

You remain responsible for your business decisions and should consult appropriately qualified professionals when necessary.

9. THIRD-PARTY PLATFORMS

Ko-Create may recommend, configure, integrate with, or use third-party tools and platforms, including customer relationship management systems, analytics services, social media platforms, advertising platforms, website providers, email systems, automation tools, and other software.

Third-party platforms operate independently from Ko-Create.

We do not control and cannot guarantee their:

  • Availability

  • Performance

  • Pricing

  • Policies

  • Algorithms

  • Features

  • Data practices

  • Approval processes

  • Account restrictions

  • Advertising decisions

Ko-Create is not responsible for losses caused solely by the actions, outages, policy changes, restrictions, suspensions, or failures of third-party platforms outside our reasonable control.

10. INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Ko-Create retains ownership of its pre-existing intellectual property, methodologies, processes, frameworks, templates, systems, training materials, and proprietary resources.

Clients retain ownership of intellectual property they provide to Ko-Create.

Ownership and usage rights for custom deliverables created during an engagement may be further described in the applicable client agreement.

You may not reproduce, resell, distribute, publish, license, teach, or commercially exploit Ko-Create's proprietary materials without written permission.

11. WEBSITE CONTENT

The text, graphics, branding, designs, frameworks, educational materials, and other original content on this website are owned by or licensed to Ko-Create and are protected by applicable intellectual property laws.

Website content is provided for informational purposes and may not be copied, republished, sold, or commercially distributed without permission.

12. TESTIMONIALS AND CASE STUDIES

Some jurisdictions do not permit certain limitations of liability, so portions of this provision may not apply to you.

15. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless Ko-Create Marketing LLC and its owners, employees, contractors, and representatives from third-party claims, damages, liabilities, and reasonable expenses arising from materials, claims, instructions, or information you provide to us, your unlawful use of our services, or your violation of these Terms.

16. TERMINATION

Ko-Create may suspend or terminate services for material breach of an agreement, nonpayment, unlawful or abusive conduct, or other grounds described in an applicable client agreement.

Termination does not eliminate payment obligations already incurred.

Any provisions that by their nature should survive termination, including intellectual property protections, disclaimers, payment obligations, and applicable limitations of liability, will survive.

17. ELECTRONIC COMMUNICATIONS

By interacting with Ko-Create electronically, you consent to receiving service-related communications electronically.

Marketing email and SMS communications are subject to the consent and opt-out provisions described in our Privacy Policy and applicable law.

18. GOVERNING LAW

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Any additional dispute resolution, venue, mediation, or arbitration provisions applicable to a paid engagement may be contained in the applicable client agreement.

19. CHANGES TO THESE TERMS

We may update these Terms from time to time.

The current version and effective date will be posted on our website.

Changes will apply prospectively unless otherwise permitted by law. Material changes affecting an existing paid engagement will remain subject to any separate agreement governing that engagement.

20. SEVERABILITY

If any provision of these Terms is determined to be unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

21. ENTIRE AGREEMENT

For general website use, these Terms and our Privacy Policy constitute the agreement regarding use of the website.

For paid services, these Terms operate together with any applicable proposal, order form, statement of work, checkout terms, or client agreement.
